Whitemore James Black operates as a specialized firm in the legal recruitment and staffing sector. The firm is currently supporting the California branches of a premier law practice in their quest to secure a temporary Corporate Paralegal for an assignment spanning approximately three to four months. This position offers flexibility, allowing the candidate to work remotely or, if they choose, from the firm\'s offices located in San Francisco or Los Angeles.

The individual in this role will provide support on matters pertaining to corporate governance, regulatory compliance, and various transactional activities. The ideal candidate will possess robust analytical capabilities, outstanding communication skills, and the aptitude to perform effectively within a dynamic corporate setting.

Primary Duties

• Aid in the drafting, examination, and submission of corporate documentation, which includes paperwork for entity formation, dissolution, and amendments.
• Oversee the upkeep of corporate records, minute books, and entity management systems.
• Facilitate board of directors and shareholder meetings through the preparation of agendas, resolutions, and official minutes.
• Manage regulatory filing processes and help ensure adherence to applicable federal, state, and local statutes.
• Provide assistance with due diligence efforts related to mergers, acquisitions, and other corporate deals.

Required Qualifications

• A Bachelor\'s degree is mandatory; a Paralegal certification is advantageous.
• Minimum of two years\' experience working as a corporate paralegal within a law firm.
• Demonstrated ability to manage sensitive information with a high degree of confidentiality.
• Excellent interpersonal abilities, with the capacity to work both autonomously and as part of a team.
